Website Project Contract

To be used in conjunction with the Website Planning Worksheet, the Website Content Worksheet and if the project includes a store front or sales catalog, the Store Planning Worksheet, all of which should be printed out by the client.

Our desire is to delight the client. One way is to make clear our understandings with each other. These are the terms of our agreement together:

1. Authorization. The above-named client is engaging Integrative Web Services, a sole proprietor, located at 7660 Rocky Terrace, Creston, California 93432, as an independent contractor for the specific project of designing, publishing and maintaining a website. The client hereby authorizes Integrative Web Services to design a website according to the client's original written specifications on the Website Planning Worksheet. The client also authorizes Integrative Web Services to register the website Domain Name: ____________________________________ through Integrative Web Services' web hosting service partner and to upload and install the website files on their servers. The client also authorizes Integrative Web Services to promote their completed website on Web search engines, as well as other Web directories and indexes. The client also authorizes Integrative Web Services to maintain their website under one of two plans set forth herein.

2. Sole Agreement. The agreement contained in this "Website Project Contract" constitutes the sole agreement between Integrative Web Services and the client regarding this website project. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for one (1) year after both parties sign this contract. Continued services after that time will require a new agreement.

3. Page Defined. For the purposes of Integrative Web Services' per page pricing system and as used in this agreement, a page is defined as:

  1. A fixed width not to exceed 1007 pixels and a height not to exceed 1132 pixels.
  2. A flexible width not to exceed 100% and a height not to exceed 1132 pixels.

4. Standard and Online Store Website Package Elements. Integrative Web Services includes the following elements in their Standard and Online Store Website Packages:

  1. E-mail/Phone Consultation. Up to 2 hours total general Internet orientation education, marketing strategy, Web design consultation, and assisting clients.
  2. Custom Graphics Package. Masthead graphic on first page (simple custom graphic incorporating company logo). Top-of-page graphic for all other pages in the website. Colorful lines and bullets, colored and textured background.
  3. Photos and Other Images. In addition to masthead and top-of-page graphic. Images to be Supplied by client or Integrative Web Services will aquire stock photos from their vendor (up to an average of 2 included per page).
  4. Navigation System.Allowing smooth, easy to use and intuitive movement throughout the website.
  5. Text Blocks. Content to be supplied by the client (200 words per page approximate maximum if not supplied via digital file).
  6. External Links. Up to an average of 3 per page.
  7. Publishing. Uploading and installation of web pages on Integrative Web Services' web hosting provider's web space.
  8. Site Promotion. Submission to at least a dozen major Web search engines, such as Yahoo, AltaVista, InfoSeek, WebCrawler, Lycos, etc.
  9. Maintenance. Either as needed or under a monthly plan.

5. Standard Website Package Only . (Cross out this section for online stores.) The text and graphic content of the web pages will be supplied by the client and executed as specified by the client in the "Website Planning Worksheet" dated _______________. This website includes up to ___________ web pages. In case the client desires additional standard web pages beyond the original number of pages specified above, the client agrees to pay Integrative Web Services an additional $149.00 for each additional web page up to a total of 9 pages (including the original number of pages), $125.00 for each additional web page above a total of 9 and up to a total of 19 pages (including the original number of pages) and $99.00 for each additional web page bringing the total to 20 or more pages (including the original number of pages). If discount is applicable, the amounts above will be reduced by 30%.

6. Online stores Only. (Cross out this section for Standard Website Packages.) The text and graphic content of the web pages will be supplied by the client and executed as specified by the client in the "Website Planning Worksheet" dated _______________. and the Store Planning Worksheet dated _______________. It is understood that total prices calculated below are likely to vary from the final amount due to different quantities of products, categories, photos, regular pages, etc. in the final store. An Estimate from Integrative Web Services dated ______________ is attached to this document and governs the prices for this contract. Notwithstanding any prices listed in literature or on web pages, the client and Integrative Web Services agree that the services described above in this section shall be completed for $__________________ and upon this amount the first payment shall be determined. The final payment shall reflect and include all elements actually completed at the prices attached. We include e-mail/phone consultation of up to 2 hours total general Internet orientation education, marketing strategy, Web design consultation, and helping clients learn to use the store software. Telephone long distance charges are in addition to package rates quoted. Additional education and consultation is at our hourly rate. Product web pages, products, or photos added after the store is ready for advertising to the Web search engines will be calculated for actual time spent at the hourly rate specified below.

7. Assignment of Project. Integrative Web Services reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.

8. Copyrights and Trademarks. The client represents to Integrative Web Services and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Integrative Web Services for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Wilson Internet Services and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

9. Website Copyright License. Integrative Web Services hereby grants the client permission to copy, display, distribute copies of the website and to incorporate the website, in whole or in part, into derivative works for an indefinate period commencing on the date final payment of the total amount of this contract is received, and ending when the Integrative Web Services maintenance agreement is terminated by either the client or by Integrative Web Services. Integrative Web Services retains all other rights in the copyright work, including without limitation, the right to copy, distribute, publish, display or modify the copyright work, and to transfer, assign or grant license of any such rights.

10. Payment of Design Fees. Fees to Integrative Web Services are due and payable on the following schedule: 50% upon signing this contract, 50% when the web pages have been constructed according to the client's original written specifications and prior to uploading and installing the website files on the web host servers. Promoting the pages to Web search engines and updating occur only after the final payment is made. All payments will be made in US funds.

11. Initial Design Payment and Refund Policy. The total amount of this contract is $____________________ This agreement begins with an initial payment of $____________________ (50% or more of the total amount above). If the client halts work before signing final approval (below) of the project mock-up and applies by registered letter for a refund to Integrative Web Services, 7660 Rocky Terrace, Creston, CA 93432, phone (805) 237-1816, 100% of the initial payment amount will be refunded to the client. Should the cient halt work after signing final approval of the project mock-up and applies by registered letter, work completed shall be billed at the hourly rate stated above, and deducted from the initial payment, the balance of which shall be returned to the client. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless written application is made within 30 days of signing this contract.

6. Domain Name and Web Hosting. The client understands that domain name registration and web hosting services are to be provided by Integrative Web Services' web hosting partner. The client further understands that initial domain name registration and the first six (6) months of web hosting are included in the website package. The client also understands that subsequent registration and hosting service will be billed to the client by Integrative Web Services.

7. Maintenance Plans and Hourly Rate. This maintenance agreement commences upon the date the client signs this contract. The client grants Integrative Web Services the exclusive right to maintain the website under the plan selected on the Website Planning Worksheet dated _________________. Termination of this agreement by either party shall be by registered letter. Maintenance will be billed at the hourly rate of $39.00 (1 hour minimum) or by the $59.00 monthly plan with additional work beyond 2 hours billed at a reduced hourly rate of $29.00 (1/2 hour minimum).

15. Payment of Maintenance Fees. In order for Integrative Web Services to remain in business, payments must be made promptly. Delinquent bills will be assessed a $15 charge if payment is not received within 15 days of the due date. If an amount remains delinquent 30 days after its due date, an additional 5% penalty will be added for each month of delinquency. Integrative Web Services reserves the right to remove web pages from viewing on the Internet until payment is made. In case collection proves necessary, the client agrees to pay all fees incurred by that process. This agreement becomes effective only when signed by Integrative Web Services. Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in San Luis Obispo County, California, and any dispute will be litigated or arbitrated in San Luis Obispo County, California. Please pay on time.

11. Legal Stuff. Integrative Web Services does not warrant that the functions contained in these web pages or the Internet website will meet the client's requirements or that the operation of the web pages will be uninterrupted or error-free. The entire risk as to the quality and performance of the web pages and website is with client. In no event will Integrative Web Services be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or website, even if Integrative Web Services has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

13. Laws Affecting Electronic Commerce. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend Integrative Web Services and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce.


The undersigned agrees to the terms of this agreement on behalf of his or her organization or business.
